Constitution and By-Laws

 

 

Section 1

 

The name of the organization shall be the HUMBOLDT POULTRY FANCIERS ASSOCIATION. This is to be a non-profit organization, with membership consisting of persons interested in breeding and exhibiting poultry, pigeons, waterfowl and game birds.

SECTION 2

 

The Post Office address of the Association shall be the place of business, or to current office holder.

 

SECTION 3

 

The objective of this association shall be to increase the interest and to encourage the breeding and improving of all poultry, pigeons, waterfowl, game birds and cage birds and the bringing together of the breeders for their mutual benefit.

 

            ARTICLE 2 MEMBERSHIP

 

SECTION 1

 

Any person interested in the objective of the organization will be eligible for membership therein as long as he or she complies with the requirements incident to such membership.

 

SECTION 2

 

Applications for membership must me endorsed by a member in good standint.

 

SECTION 3

 

Applications for membership must be accompanied by $7.00 for single adult membership, $5.00 for Junior (18 years of age and under constitutes a Junior), FFA or 4-H membership, $10.00 for Family (members in same family or partnership).

 

AMENDMENT TO SECTION 3

 

Application for membership must be accompanied by (a) $7.00 for single adult (b) $10.00 for family membership (c) $5.00 for a Junior membership which will constitute the first yeas’ dues.

 

SECTION 4

 

Membership shall be acknowledged by the Association’s membership card and shall be dated from the time application is accepted, terminating the 31st day of December following, unless renewed.

 

SECTION 5

 

All new members accepted after September 1st of any given year will receive membership until the end of the Association’s following fiscal year.

 

SECTION 6

 

Delinquent members shall lose their Association voting rights and all other privileges after 30 days and be removed from the mailing list after 60 days.

 

ARTICLE 3 OFFICERS

 

SECTION 1

 

The elective officers shall consist of a President, Vice-President, Secretary, Treasurer, Historian, Sergeant at Arms, and six (6) Directors (from the membership at large.)

 

SECTION 2

 

The Board of Directors shall consist of the elective officers and the past President.

 

SECTION 3

 

The officers shall serve, beginning January 1st, following the election. The Association term shall be from January 1st for two (2) years and the books shall close with the end of each election term.

The officers shall serve beginning June 1st following the election. The Association term shall be from June 1st for 2 years and the books shall close with the end of each election term.

 

SECTION 4

 

Officers who do not function shall be removed from office unless a reasonable excuse is given to, and approved by the Board of Directors.

 

ARTICLE 4 ELECTIONS

 

SECTION 1

 

Nomination of officers shall be made bi-annually at the regular April meeting. Nominations shall be made from the floor. Ballots will be mailed/emailed to all eligible members, with return envelope provided for mailed ballots. Ballots shall be counted at the May meeting.

SECTION 2

 

The Election of officers shall be for 2 years.

 

SECTION 3

 

Any member shall have the right to inspect the ballots at the meeting at which the votes are counted.

 

ARTICLE 5 MEETINGS

 

SECTION 1

 

The Association shall hold one meeting a month. Special meetings of the Association shall be called by the President.

 

SECTION 2

 

An attendance of 2 or more shall constitute a meeting and  a quorum of membership meeting. A quorum for the Board of Directors shall be 2 or more.

 

SECTION 3

 

The order of business shall be: Reading of the minutes of the previous meeting, report of Treasurer, reading of communications, unfinished business, new business, report of committees, good and welfare of the Association, new members and adjournment.

 

ARTICLE 6 MANAGEMENT

 

SECTION 1

 

The management of this Association shall be vested in the Board of Directors. The President shall preside at all meeting of the Board of Directors and his/her vote shall be cast only in case of a tie vote. In the absence of the President, the Vice-President shall preside.

 

SECTION 2

 

The President is the Chief Executive Officer and shall preside at all meetings and appoint all special committees unless otherwise designated. He shall carry out the by-laws and instructions of the Association as made at all meetings, and at all times. The President is automatically on all committees.

 

SECTION 3

 

In the absence or disability of the President to preside at a meeting or to discharge other duties involving him/her, it shall be the duty of the Vice-President to serve in his stead. The Vice-President shall act as program coordinator.

 

SECTION 4

 

The Secretary shall have charge of records and files of the Association: shall conduct all correspondence, keep correct minutes of the meetings, collect all money due the Association from any and all sources; issue membership cards for all dues received, co-sign and deliver checks written for the Association by the Treasurer, turn over to the Treasurer at each stated meeting the full amount of the month’s receipts, receiving therefore a receipt from the Treasurer. The Secretary shall carefully keep all past records of the office, including a copy of the constitution, the minute books, written reports of the committees, petitions and worthy communications belonging to the Association.

 

SECTION 5

 

The Treasurer shall receive from the Secretary all funds collected during the month, giving therefore a receipt for the full amount. The full amount of the collections shall be deposited in the checking account of the Association by the Treasurer, the deposit slip therefore shall be turned over to the Secretary for the records. The Treasurer shall write and co-sign all checks, recording the check number, amount, and payee; and turn the checks over to the Secretary for co-signing and delivery. The Treasurer shall keep the records in proper form for the inspection of the Annual Auditing Committee and shall report to each meeting of the Association all financial transactions and balances for the month.

 

SECTION 6

 

It is the duty of the Historian to keep all the photo albums, scrapbooks, and guest books and to keep them up to date and bring them to meetings and shows.

 

SECTION 7

 

It is the duty of the Sergeant at Arms to maintain order and to help supervise and set up the meeting.

 

ARTICLE 7 AMENDMENTS

 

SECTION 1

 

All Constitution and By-law changes must be read at three (3) general membership meetings and then voted upon by the membership for acceptance. Notice of a change in the Constitution should be made in the bulletin and announced 60 days ahead of time.

 

DUTIES OF ELECTION COMMITTEE AND

MANNER OF HOLDING ELECTIONS

 

  1. The Association Secretary shall mail ballots to all eligible members and enclose a stamped return envelop addressed to the appointed Election Committee Chairman.

 

The Election committee’s duties will be to tabulate the results of the balloting at the (December) May meeting and submit a list of the winning candidates to the Association Secretary.

 

All ballots to be retained by the election committee for a period of 60 days and delivered to the Association Secretary.

 

In the event of a tie vote, a run-off election must be conducted following the same procedure of a normal election, for the office in question only.

 

In event claims of an improper election are made they must be made in writing to the Board of Directors in office at the time of the ballots were first mailed. It shall be their decision whether to call for a new election. No ballots shall be counted by the committee that have been tampered with in any way.

 

  1. Members who reached the age of fourteen (14) years shall be eligible to vote in the Association.
  2. All members in good standing, who are fourteen (14) years of age or older shall be able to run for office.
  3. No candidate for any elective office shall be a member of the Election Committee during the election in which he/she is a candidate.

 

GENERAL INFORMATION

 

No officer or committee shall render this Association liable for the expenditure exceeding any appropriation provided for by vote of the Association or it Board of Directors.

 

The Board of Directors shall have control of the Association at all times, as well as enforcement of all rules and shall be empowered to take any action necessary that does not conflict with the constitution and by-laws of the Humboldt Poultry Fanciers Association.

 

The Board of Directors shall review the by-laws upon taking office, at the first Directors meeting.

 

The Board of Directors shall also function as a grievance and appeals committee.

 

All grievances must be submitted to the grievance committee in writing. This committee will then pass on the merits of the complaint or grievance and recommend action by the Association if deemed justified.

 

Any member who deliberately violates the provisions of the constitution and these by-laws or who may in any way by his/her acts tend to injure the standing of the Association may be expelled only by vote for his/her expulsion of two-thirds of the membership present at a regular meeting of the Association and such a member must be notified of charges against him/her at least 30 days before this meeting.
